SUBMISSION LICENSE AGREEMENT

THIS AGREEMENT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES YOU TO ENTER INTO A LEGAL AND BINDING AGREEMENT WITH HILTON WORLDWIDE AND TO WAIVE CERTAIN RIGHTS THAT YOU MAY HAVE.   THEREFORE, PLEASE READ THIS AGREEMENT VERY CAREFULLY AND MAKE SURE YOU UNDERSTAND YOUR RIGHTS AND OBLIGATIONS BEFORE SIGNING THIS AGREEMENT AND SUBMITTING ANY MATERIALS TO HILTON WORLDWIDE.  BY CLICKING ON THE "I AGREE" BOX BELOW OR BY SIGNING THIS AGREEMENT YOU (I) ACCEPT THIS AGREEMENT, (II) AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND (III) HAVE ENTERED INTO A BINDING AGREEMENT BETWEEN YOU AND HILTON WORDWIDE  

This Submission License Agreement ("Agreement") is entered into by and between the undersigned ("I," "me" or "my" whether such part is an individual or an entity) and Hilton Worldwide ("Hilton") concerning my submission of one or more audio recording(s), audiovisual work(s), photographic works, written materials (either fiction or  non-fiction) and/or other similar or dissimilar materials (each a "Submission") for Hilton's consideration and possible use in connection with Hilton's marketing campaign for Homewood Suites entitled currently "Why I Love Homewood" ("Campaign").  For good and valuable consideration, the receipt of which I hereby acknowledge, I hereby agree as follows:

1.	I hereby request that Hilton consider using my Submission as part of the Campaign, and I acknowledge that Hilton will not consider my Submission unless I agree to the terms of this Agreement.  I understand that Hilton will be acting reliant upon my grant of rights, representations, warranties and indemnities in this Agreement.  If Hilton chooses to use my Submission as part of the Campaign, I also understand Hilton may incur substantial expense in reliance upon my grant of rights, representations, warranties and indemnities in this Agreement.

2.  I irrevocably grant to Hilton the non-exclusive, royalty-free license and right to use and otherwise exploit the Submission, including, without limitations, the title(s) and each and every element of the Submission or any of them, in whole or in part, in any and all manner and media throughout the world for a period of one (1) year commencing on the date of initial exhibition of the Submission by Hilton. Further, I hereby acknowledge and agree that Hilton shall have the right to (but not the obligation) to crop, edit, alter or transpose the Submission in any way it desires in its discretion.  Hilton shall also have the right to exploit the Submission with commercial inserts, in its discretion.  Hilton shall have the unrestricted right to delete or change any copyright notice, credits or music in the Submission.  I forever waive and relinquish all so-called "moral rights (droit moral)" now or hereafter recognized.

3.	I represent and warrant I have read, understand and shall follow the submission guidelines that are posted Hilton's Web site located at http://www.homewoodstories.com.  I acknowledge and agree that the Submission is not being submitted in confidence or in trust, and that no confidential or fiduciary relationship between Hilton or me is either intended or created.

4.	Hilton shall have the right, but not the obligation, to accord me credit with respect to any use of the Submission, in Hilton's sole discretion and any and all matters relating to any such credit, such as size, placement, and the like shall be at the sole discretion of Hilton. 

5.  I hereby acknowledge that I have kept a copy of the Submission for my own records and use, and that Hilton will not return to me the copy of the Submission that I sent to Hilton, which Hilton may retain, provide to third parties or destroy, in its discretion, and I hereby release Hilton from any claims related thereto.  

6.	I represent and warrant that (a) I have full right to make and perform all of my agreements and obligations in this Agreement and to grant all rights granted by me in this Agreement and that none of my agreements or rights granted in this Agreement will violate any agreement to which I am a party, (b) I am the sole and exclusive owner of, and original creator of every element of the Submission and all of the copyrights therein, (c) the Submission does not and shall not infringe upon the rights or interests of any third party including, without limitation libel, slander, defamation of any such third party or infringe the rights of privacy, publicity, or any copyright or trademark rights of any third party, (d) each and every element of the Submission, is original with me, and (e) Hilton's use of the Submission in any manner contemplated by this Agreement will not give rise to any claims of infringement, invasion of privacy or publicity or claims for payment of re-use fees, residuals or license fees. 

7.	I shall indemnify, defend and hold harmless Hilton, its officers, directors, consultants, employees, successors, licensees, agents and permitted assigns from and against any claim, demand, action, damages, loss, expense (including reasonable attorneys' fees) and other liabilities arising from actions brought by third parties arising from (a) any breach of any of the representations, warranties or agreements made by me hereunder or (b) a claim that the use of any or all of the Submission infringes any intellectual property right(s) of any third party.  I shall reimburse Hilton promptly upon demand for any payment made by Hilton at any time to which the foregoing indemnity applies.

8.	Hilton shall be entitled to assign or sublicense all or a portion of the rights and licenses granted herein and/or this Agreement in its entirety, without payment to me.  I shall not have the right to assign this Agreement or any of my obligations herein and any such assignment is voidable by Hilton in its discretion.  This Agreement is binding upon and shall inure to the benefit of the respective licensees, successors, heirs and permitted assigns of the parties hereto.  

9.	This Agreement sets forth the entire understanding between Hilton and me with respect to the subject matter of this Agreement.  I acknowledge that Hilton (including any of its officers, employees, contractors or agents) has not made any promises or representations to me to induce me to provide the Submission.

10.	This Agreement and all questions arising hereunder shall be governed by and construed in accordance with the laws and decisions of the State of California without giving effect to the principles thereof relating to the conflicts of law.  

11.	I shall not sue, and I irrevocably, unconditionally and entirely release, waive and forever discharge Hilton, its parent and related companies, subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, representatives, employees, successors and assigns, jointly and individually (hereinafter collectively referred to as "Releasees"), from any and all manner of liabilities, claims and demands of any kind or nature, whatsoever, in law or equity, whether known or unknown, which I ever had, now have, or in the future may have against the Releasees with respect to Hilton's uses of the Submission, the Campaign and/or my decision to provide the Submission to Hilton.  Without limiting the generality of the foregoing, I specifically acknowledge that I shall not be entitled to equitable or injunctive relief, which I knowingly and voluntarily waive and I shall not prevent or inhibit the exhibition, distribution, broadcast or other use or exploitation of the Campaign. 

12.	I hereby irrevocably grant Hilton the right to use my name, voice, likeness and biographical material in or related to the Submission, including, without limitation, in credits, advertising, publicity, promotional and marketing material in connection with the Campaign. I shall not issue any publicity concerning Hilton and/or the Campaign. I acknowledge that this Campaign is a non-guild production and there will be no residual or any other type of payment due in connection with the Submission.

13.	I acknowledge that included within the Submission to be disclosed and provided by me may be materials, proposals, suggestions, concepts and the like relating to the Campaign and/or other Hilton matters and initiatives (the "Material"). I agree as follows with respect to such Material: (a) I acknowledge both that Hilton receives numerous submissions of similar or identical concepts from many parties and/or may have already developed and/or considered similar or identical concepts to the Material and that Hilton's review of the Material is not an admission of novelty, priority or originality and (b) the adoption by Hilton of any alternative submission (as opposed to the Material) may be due to market conditions at the time at which such alternative submission is received and/or the positioning of the concept suggested by the party making the submission as well as of any inherent merit of the concept. Selection by Hilton of alternative submissions or acting on concepts already considered and/or developed by Hilton, or concepts considered and/or developed in the future, whether or not similar to the Material, shall be without obligation to me. 

I HEREBY ACKNOWLEDGE THAT I HAVE CAREFULLY READ THE FOREGOING TERMS AND CONDITIONS AND THAT I AGREE TO ENTER INTO THIS AGREEMENT AND HEREBY RATIFY AND AGREE TO ALL OF THE FOREGOING.
